Acceptance of Terms

The following are the terms or service between you and Nexus Inclusion ("Company," "we," "us," or "our"). By accessing or using our services, websites, or software applications (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). The term "you" or "your", as used in these Terms of Service, means any person who accesses or uses Nexus Inclusion services, websites or software application

By accessing or using our services, you acknowledge that you have read, understand, and agree to be bound by these terms and to comply with all applicable laws and regulations. If you do not agree to these terms, please do not use our services.

Changes to the Terms

We may modify these Terms at any time. Any changes will be posted on our website and/or communicated via other methods. Your continued use of the Services after such modifications indicates your acceptance of the updated Terms.

Description of Services

Nexus Inclusion provides services that support the design and development of inclusive and accessibile digital products. The specific features and functionalities are subject to change based on updates or enhancements.

Eligibility

You must be a minimum age of 16 years or have reached the age of majority in your jurisdiction to use the Services. By agreeing to these Terms, you represent that you have the authority to bind yourself or your organization to these Terms.

User Accounts

To access certain features of our Services, you will be required to create an account.

You agree to:

  • Provide accurate and complete information during registration.
  • Create a password in line with the requirements on our sign-up pages, and be responsible for maintaining the confidentiality of your account credentials.
  • You agree not to share, disclose, or otherwise make your password available to any other person or entity.
  • Notify us immediately of any unauthorized use of your account.
  • We reserve the right to terminate accounts that violate these Terms or are found to have provided false information.

Subscription and Payment Terms

Our minimum contract length is one year. Depending on your account type and geography, you may be offered annual or monthly payments, or a choice between the two.

Nexus Inclusion uses a subscription business model. Your subscription will automatically renew unless the renewal is cancelled before billing. Renewal payments are billed annually (up to 30 days before renewal) or monthly depending on your billing cycle.

By signing up to our Services, you agree to:

  • Pay all fees in accordance with the Subscription Plan you select.
  • Allow us to charge the payment method you provided for any applicable fees.
  • Notify us of any billing issues or disputes within 30 days of the charge.

Annual Payments

Your contract with us begins when your payment transaction is complete. Your subscription will automatically renew each year, up to 30 days before your renewal date, unless you cancel the renewal before billing. We will email you with a reminder of your next billing date in advance of the transaction. You can opt out of automatic renewal in your account settings. Opting out of auto-renewal will result in losing access to future scans, monitoring and all other Nexus Inclusions solutions.

Monthly Payments

Your contract with us begins when your payment transaction is complete. Your payment will automatically be charged to your chosen payment method each month. You can opt out of automatic renewal in your account settings. If you opt out of automatic renewal before your annual contract has ended, you will need to pay the remaining balance up to the date of your last contracted monthly billing cycle. Opting out of auto-renewal will result in losing access to future scans, monitoring and all other Nexus Inclusions solutions.

Credits

Your Nexus Inclusion access includes a monthly credit allowance, the amount of which varies depending on your selected plan. These credits are used with each scan, monitor, tool usage or other activity within your accounts. Your credits expire at the end of the month and automatically replenish on the first day of your next month. The first and last day of the month are defined by the date when you signed up to the Nexus Inclusion platform. e.g. if you sign up on 5th April, the 5th of every month is the day when your new credits replenish. If you run out of credits, customers of Pro, Advanced and Enterprise plans have an option to purchase more as needed. Unused credits can not be carried over to the next month.

License Grant and Restrictions

We grant you a limited, non-exclusive, non-transferable license to access and use the Services as per these Terms.

You agree not to:

  • Reverse engineer, decompile, or otherwise attempt to derive the source code of our software.
  • Use the Services for unlawful purposes.
  • Resell or sublicense the Services.

User Conduct

You agree not to engage in activities that:

  • Violate any laws or regulations.
  • Infringe on the rights of others, including intellectual property rights.
  • Harass, abuse, or harm other users or third parties. We may suspend or terminate your access to the Services for any violation of these Terms.

Content Ownership and Licenses

Your Content

By uploading or submitting any content to our Services, you grant Nexus Inclusion a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display your content as necessary for providing the Services.

Our Content

All content, trademarks, and intellectual property related to the Services are owned by Nexus Inclusion and are protected by intellectual property laws. You agree not to use, copy, or distribute any content without our permission.

The logos of social media platforms which we use on our site and in customer communications belong to those respective companies.

Limitation of Liability

To the maximum extent permitted by applicable law, Nexus Inclusion shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Services, including but not limited to loss of data or profits.

Data Retention

Nexus Inclusion will retain, store and make available your scans, monitoring reports and other tool outputs as follows:

Your scans, monitoring reports and other tool outputs will be automatically archived after 3 months. After 3 months, all reports and outputs will no longer be visible in your main dashboard but will still be accessible in your archives. We will retain this information and make it available to you for one year.

You have the ability to download all reports.

Indemnification

You agree to indemnify and hold harmless Nexus Inclusion and its affiliates, employees, and agents from any claims, damages, or losses arising from your use of the Services or your violation of these Terms.

Nexus Inclusion gives guidance on improving accessibility compliance to international standards including but not limited to EAA, ADA and WCAG. Nexus Inclusion is not responsible for the implementation of any of the guidance given. Additionally Nexus Inclusion does not offer any guarantees of compliance. By becoming a Nexus Inclusion customer, you agree that all choices and implementations that you make in relation to the guidance given by Nexus Inclusion is solely your responsibility.

Our services use crawling technology to complete our accessibility assessments. We do not accept responsibility for the failure of any of our tools if our services are blocked by anti-crawler technology on your websites.

Termination

We may terminate or suspend your access to the Services at any time, without prior notice, for conduct that we believe violates these Terms or is otherwise harmful to other users or the Services.

Governing Law

These Terms are governed by the laws of Ireland without regard to conflict of laws principles. Any disputes arising from these Terms or your use of the Services shall be resolved exclusively in the courts of Ireland.
